Legal Counsel, Commercial and Contracts

Job Purpose
This position will be an integral part of the Subsea Legal Contracts & Commercial team. The ideal candidate will analyze the legal aspects involved in bidding processes and Group contracts to ensure the legal viability of the operations.

General Responsibilities
- Work closely with Tendering, Finance, Tax, and Insurance teams to support tender activities.
- Adapt responsibilities per tender, customer, or business area based on scope, duration, and complexity.
Key Tasks
- Conduct detailed legal review of Invitations to Tender and prepare qualifications to manage risks in line with Bid Procedures and contracting principles.
- Liaise with the Global Business Unit and functional experts (corporate, compliance, litigation, tax, finance, etc.) to obtain or validate advice.
- Assist in negotiations with clients, joint venture or partnership partners, and subcontractors.
- Identify contractual and commercial risks and provide input for inclusion in tender evaluations.
- After contract award, prepare a summary highlighting key contractual principles.
- Provide guidance on required contractual “flowdowns” for subcontractors.
- Participate in final review of all contractual and commercial documents prior to contract signature.
- Support smooth handover of contractual details to the Project Execution team.
You are meant for this job if:

A minimum of 5 years of contracts experience, including 2–3 years in the oil and gas industry.

Strong proficiency in written and spoken English.

Solid understanding of legal concepts and standard legal procedures.

Thorough knowledge of key contractual principles, including:
- Indemnities
- Warranties
- Insurance fundamentals
- Offers & consideration
- Force majeure
- Default provisions
- Limitations of liability
- Accord and satisfaction

Ability to troubleshoot effectively and manage multiple tasks and shifting priorities in a fast-paced environment.Advanced PC skills, including proficiency in Word, Excel, Project, and presentation tools.

A Juris Doctorate (JD) or equivalent legal qualification aligned with the requirements of the role preferred.
