Job Purpose

The Director of Executive Compensation leads the design, implementation, and governance of executive pay programs, including base salary, annual incentives, and long-term equity plans. This role ensures alignment with business strategy, market competitiveness, and regulatory compliance while supporting the company’s ability to attract and retain executive talent. The position reports to the Vice President, Total Rewards, manages a small team, and contributes to strategic compensation projects.

Job Description

  • Lead the design, management, and administration of executive compensation programs aligned with company goals, shareholder interests, and pay philosophy.
  • Partner with senior leadership, Legal, Finance, and Investor Relations to develop strategy, ensure compliance, and support Compensation Committee and Board discussions.
  • Conduct competitive market analysis using executive compensation surveys and recommend pay structures based on market data, internal equity, and regulatory requirements.
  • Oversee annual and long‑term incentive plan design, modeling financial impact, scenario planning, and ensuring accurate grant processing and communication.Prepare and coordinate all executive compensation disclosures, including annual proxy statements and UKAR reporting, ensuring accuracy and compliance.
  • Develop clear, concise materials for leadership, Board, and Compensation Committee meetings; support executive-level presentations.
  • Build strong cross-functional relationships, partner with vendors, and provide insights on pay trends, equity usage, and compensation cost modeling to improve program effectiveness.
  • Manage a small team, providing coaching, development, performance feedback, and oversight of day‑to‑day operations.

You are meant for this job if:

  • Bachelor’s degree in Business, Finance, HR or related discipline; advanced degree or certifications in compensations (MBA, CCP, CEP) are preferred
  • 8+ years related work experience, specializing in C-level compensation and rewards programs
  • In-depth understanding of executive compensation practices, governance, and regulatory requirements
  • Experience supporting Board and Compensation Committee interactions.
  • Experience leading a team and proven ability to coach and develop
  • Ability to engage and manage relationships at all levels; Excellent leadership and managerial skills to lead and inspire people directly and indirectly
  • Direct experience in preparing Proxy statements
